Head of Governance and Deputy Company Secretary

Our client, based in Buckinghamshire, is currently recruiting for a Head of Governance and a Deputy Company Secretary on a permanent basis. As a not-for-profit organization, our client is proud to provide over 8,000 across Buckinghamshire and the surrounding areas.

The position is due to start immediately on a full time basis. The salary for this position ranges between £65,000 – £70,000 based on experience.

The ideal candidate will be a part qualified or fully qualified Company Secretary and from a social housing background however those from a different background will also be considered.

Duties will include (but not limited to):

  • Holding responsibility for a team of 10 employers including line management responsibility for the Strategic Procurement manager, Performance Improvement Manager and their team, the Health and Safety Compliance Manager and their team as well as the Compliance and Assurance Manager
  • Acting as the lead professional for risk management, value for money, continuous improvement, insurance, corporate projects, and internal controls within the group and key support to the Company Secretary for governance, regulation and compliance
  • Taking corporate oversight and responsibility in relation to the organisation’s governance related activities. This includes the management and reporting on risks, health & safety, compliance, regulatory requirements etc
  • As Deputy Company Secretary, working with the Company Secretary to deliver the cycle of board and committee meetings and support with record keeping as well as deputising for Company Secretary as required
  • Working closely with board and committee members on areas of expertise as required including presenting reports within remit to them for scrutiny
  • Ensuring that the organization is aligned to and operates within, all regulatory guidance, statutory and legislative requirements. Developing and managing a compliance register to ensure that the Trust complies with statutory, regulatory and other requirements
  • Keeping up to date with changes in legislation, regulation, good practice within the sector, alerting changes required to the Trust’s strategies, plans, policies and other key documents as well as taking the lead where appropriate on the coordination of compliance across the Group

 

Experience required:

  • Governance professional with significant relevant experience, demonstrating ability to competently assist with governance for a large organisation
  • Substantial experience of managing a team of staff, including setting objectives and monitoring performance
  • Experience of working in a medium-sized or large Registered Provider of social housing, with subsidiaries

Skills, knowledge and expertise required:

  • A practical understanding of internal controls and experience of dealing with both internal and external Auditors
  • Proven ability to build relationships and work effectively with the wider team and with others across the organisation
  • High degree of initiative and innovative thinking with the ability to identify areas for improvement and implement changes as appropriate
  • Resilient and robust problem solver with a positive outlook and the ability to deliver results to tight timescales
  • Good interpersonal skills, with a customer focused outlook, and able to communicate effectively with people at all levels, both throughout the organisation and with external contacts
  • A confident, independent and effective decision maker with the ability to think analytically and work effectively with minimum supervision

Working hours:

  • 37.5 hours per week
  • Monday – Friday
